| RULES |
| 1 |
FORMATION |
| 1.1 |
These are the Rules of the Endeavor Plan (“the Club”), which is established and continued by common agreement of the Members from time to time of the Club. |

| 2 |
NAME |
| 2.1 |
The name of the Club shall be Endeavor Plan. |
| |
|
| 3 |
LEGAL STATUS |
| 3.1 |
The Club shall be an unincorporated association of the Manager and the Members. |
| 3.2 |
The Club shall not be a separate legal person, and shall have no right to own property, or to incur any liability either on its own part or on the part of the Manager or
of any Member. |
| 3.3 |
No Member of the Club (“Member”) shall have the right, power or authority to bind or
obligate the Club or the Manager in any manner or to any extent nwhatsoever. |
| 4 |
PURPOSE |
| 4.1 |
The only purposes of the Club are to: |
| 4.1.1 |
educate the Members in the art and science of business, life and investing; |
| 4.1.2 |
research available products, services and investment opportunities forMembers, |
| 4.1.3 |
provide information of such products, services and investment opportunities for
Members, and to negotiate favourable deals where by Members can
participate. |

| 5 |
MANAGER |
| 5.1 |
The Club shall be managed by the Manager which shall be a corporation created for
that purpose. The first Manager shall be Endeavor Administration Limited. The
Manager shall be under the control of the Board of Directors. The Board of Directors
of the Manager may determine from time to time and at any time that the existing
Manager should resign as Manager of the Club, and be replaced by another
corporation as Manager. |

MEMBERS AND MEMBERSHIP |
| 6.1 |
The Club shall consist of the Manager and one or more Members. |
| 6.2 |
Citizens of, and residents of, any country shall be eligible for membership of the Club.
Each member shall be responsible for ensuring that that Member is not precluded
from membership of the Club by the laws by which that Member is bound. |
| 6.3 |
The Members shall at all times be bound by these Rules. |
| 6.4 |
These Rules of the Club shall also be binding upon the respective heirs, executors,
administrators and personal representatives of the Members. |

| 7 |
NEW MEMBERS |
| 7.1 |
The Manager may from time to time admit legal persons (including without limitation
individuals, corporations, partnerships, trusts and incorporated associations) as
Members. |
| 7.2 |
Members shall only be entitled to join the Club by completion of a Joining Agreement
in a form determined from time to time by the Manager, which Joining Agreement
shall include acknowledgement by that proposed new Member that that Member is
eligible for membership of the Club, and agreement that that Member will abide by
these Rules. |
| 7.3 |
Prior to admission to the Club, a new Member will electronically sign the Joining
Agreement. |
| 7.4 |
By electronically signing the Joining Agreement, a new Member acknowledges
receiving and reading these Rules. |
| 7.5 |
The Club reserves the right to refuse admission to any person as a Member of the
Club without giving a reason. |
